1. Introduction
Legal Definition:

This Terms of Service Agreement (“Agreement”) governs the use of TrueScribe (“Company,” “we,” “our,” “us”) and its web-based transcription services, including all related applications, websites, and platforms.

By accessing or using the services provided by the Company, you (“User,” “you,” “your”) agree to be bound by this Agreement. If you do not agree with these terms, you must not use the service.

User Compliance
  • By using the service, you confirm that you are at least 18 years old or have the legal authority to enter into this Agreement.
  • You agree to comply with all applicable laws and regulations.
  • You acknowledge that this Agreement may be updated periodically, and continued use constitutes acceptance of changes.
2. Definitions
Legal Definitions:
  • “Company” refers to TrueScribe and its subsidiaries, employees, officers, and affiliates.
  • “User” refers to any individual, business, or entity that accesses or uses the transcription services.
  • “Content” refers to any audio files, text, or other materials uploaded, submitted, or processed through the service.
  • “Service” refers to the transcription services, software, and platform provided by TrueScribePro.
  • “Personal Data” refers to any information that can identify a User, as defined under applicable privacy laws (e.g., GDPR, CCPA).
3. Services Provided
Legal Definition:

TrueScribe provides transcription services through automated and/or human-assisted technology. The Company does not guarantee 100% accuracy and is not responsible for errors in transcriptions.

User Compliance:
  • You acknowledge that transcription results may vary in quality.
  • You accept that TrueScribePro has the right to modify, improve, or discontinue services at its discretion.
  • You agree not to use the services for illegal or unauthorized purposes.
4. User Responsibilities
Legal Definition:

Users are solely responsible for ensuring that their use of the service complies with all applicable laws, including intellectual property, privacy, and content regulations.

User Compliance:
  • You will not upload content that violates copyright, trademarks, or other proprietary rights.
  • You will not use the service to process unlawful, defamatory, obscene, or abusive content.
  • You will safeguard your login credentials and notify the Company immediately of unauthorized account access.
5. Privacy Policy & Data Handling
Legal Definition:

TrueScribe collects and processes personal data per its Privacy Policy, which complies with GDPR, CCPA, and other applicable laws. Personal data is never sold to third parties.

User Compliance:
  • By using the service, you consent to the collection, use, and storage of your data.
  • You may request deletion of your data as per the Privacy Policy.
  • You acknowledge that while TrueScribe takes reasonable security measures, no system is 100% secure.
6. Intellectual Property Rights
Legal Definition:
  • Users retain ownership of their uploaded content.
  • TrueScribe holds a limited, non-exclusive license to process and store transcriptions solely for service functionality.
  • TrueScribe’s proprietary software, trademarks, and technology remain its exclusive property.
User Compliance:
  • You may not copy, reverse-engineer, distribute, or modify TrueScribe’s proprietary technology.
  • You grant TrueScribePro permission to process your content for transcription and SEO optimization purposes only.
7. Payment & Refund Policy
Legal Definition:

Payments are non-refundable, except where required by law. TrueScribePro may offer subscriptions, pay-per-use pricing, or custom plans, subject to automatic renewals unless canceled.

User Compliance:
  • You authorize TrueScribePro to charge your selected payment method.
  • You are responsible for canceling subscriptions before renewal if you do not wish to be charged.
  • Chargebacks or disputes filed without valid cause may result in account suspension.
8. Disclaimers & Limitations of Liability
Legal Definition:
  • TrueScribe provides services “as is” without warranties of any kind, express or implied.
  • TrueScribePro is not liable for transcription errors, service interruptions, or data loss.
  • TrueScribePro’s maximum liability is limited to the amount paid by the User in the past 12 months.
User Compliance:
  • You acknowledge that transcription results are not guaranteed to be error-free.
  • You release TrueScribePro from any liability for inaccuracies in transcriptions.
9. Indemnification
Legal Definition:

The User agrees to indemnify, defend, and hold harmless TrueScribePro against any claims, liabilities, damages, or legal fees arising from:

  • Violations of this Agreement
  • Unauthorized use of copyrighted content
  • Third-party claims related to content uploaded by the User
User Compliance:
  • You assume responsibility for any claims arising from your use of the service.
  • You agree to cover legal costs if your actions result in lawsuits against TrueScribePro.
10. Termination & Suspension
Legal Definition:

TrueScribePro reserves the right to suspend or terminate accounts at its sole discretion if a User:

  • Violates these Terms
  • Engages in fraudulent, abusive, or illegal activity
  • Causes disruption to the service or other Users
User Compliance:
  • You may request account deletion by contacting customer support.
  • TrueScribePro is not liable for loss of access to transcripts after termination.
11. Governing Law & Dispute Resolution
Legal Definition:

This Agreement shall be governed by the laws of Virginia, United States. Any disputes shall be resolved through binding arbitration rather than court litigation, except for claims related to intellectual property violations.

User Compliance:
  • You agree to resolve disputes through arbitration instead of lawsuits.
  • If arbitration is unavailable, disputes shall be handled in Richmond Circuit or General District courts.
12. Miscellaneous
Legal Definitions:
  • Force Majeure: TrueScribePro is not responsible for service failures due to circumstances beyond its control (e.g., natural disasters, cyberattacks, government sanctions, etc).
  • Entire Agreement: This Agreement supersedes all prior agreements.
  • Severability: If any provision of this Agreement is found invalid, the remaining terms remain enforceable.
User Compliance:
  • You agree that no waiver of rights shall be implied from non-enforcement of a term.
  • You acknowledge that force majeure events may disrupt service availability.

By uploading your content via creating an account, or using any of TrueScribePro’s services, you acknowledge that you have read, understood, and agree to be bound by this Terms of Service Agreement, including our Privacy Policy and any additional guidelines or policies referenced herein.

If you do not agree with these terms, do not use the service. Your continued use of TrueScribePro constitutes your acceptance of all terms and conditions outlined in this Agreement.
